These Terms of Service and Sale ("Terms") apply to your access to and use of https://takereup.com (the "Site"), including any sub-domains, and your purchase of products through the Site. The Site is owned and operated by TAKE REUP LLC ("TAKE REUP," "REÛP," "we," "us," "our").

1) Overview

These Terms govern the sale of products by TAKE REUP LLC through the Site. The Site may be hosted and supported by Shopify Inc. or other service providers.

We may update these Terms at any time by posting the revised Terms on this page and updating the "Last Updated" date above. Your continued use of the Site after any update constitutes acceptance of the revised Terms.

2) Website Use & Eligibility

By using the Site, you represent that:

You are at least the age of majority in your state or province of residence; and
You have the legal capacity to enter into a binding contract.

You agree not to use the Site for any unlawful purpose and not to violate any applicable laws in your jurisdiction.

We take reasonable steps to protect personal information, but no system is completely secure. You are responsible for maintaining the confidentiality of your account credentials.

4) General Conditions & User Conduct Restrictions

All content on the Site is protected by U.S. and international intellectual property laws. You do not acquire ownership rights by using the Site.

You agree not to:

Attempt to gain unauthorized access to the Site or its systems
Interfere with Site security features
Introduce malware, viruses, or harmful code
Use scraping, crawling, or automated means to access the Site without permission
Post or transmit unlawful, abusive, defamatory, or obscene content
Impersonate any person or misrepresent your affiliation

We reserve the right to refuse service or cancel orders in our discretion, to the extent permitted by law.

5) Account Registration

You may be required to create an account to manage purchases or subscriptions. If you create an account, you agree to provide accurate information and keep it updated. You are responsible for all activity under your account.

6) Product Use; Accuracy of Information

Products purchased from REÛP are for personal use only unless expressly authorized in writing. You may not resell or redistribute our products without written permission.

We aim to provide accurate information, but the Site may occasionally contain errors related to product descriptions, pricing, promotions, shipping, or availability. We reserve the right to correct errors and to cancel or refuse orders when information is inaccurate.

7) Modifications to the Site & Prices

We may modify or discontinue any part of the Site at any time without notice. Prices may change without notice. We are not liable for modifications, suspension, or discontinuance of the Site.

8) Payment

All charges are in U.S. Dollars unless otherwise stated. We accept major credit/debit cards and may accept digital wallet providers as shown at checkout.

By submitting payment information, you represent that:

You are authorized to use the payment method provided
The payment information is accurate and complete
Sufficient funds exist to cover the charge(s)

Account Updater: We and/or our payment providers may obtain updated card information from your card issuer (where supported) and update your billing details automatically to reduce failed subscription renewals.

9) Order Placement & Acceptance

Order confirmation does not mean we have accepted your order. We reserve the right to accept, refuse, or cancel any order for any reason, including suspected fraud or unauthorized activity.

If we cancel an order after payment is processed, we will issue a refund to the original payment method.

10) Subscriptions (Subscription-Only Purchases)

IMPORTANT: REÛP PRODUCTS ARE SOLD ONLY ON A SUBSCRIPTION BASIS UNLESS OTHERWISE STATED AT CHECKOUT.

10.1 Recurring Billing Authorization

By purchasing a subscription, you authorize TAKE REUP LLC to charge your payment method automatically on a recurring basis.

Billing Frequency: Every 30 days
Renewal Billing: Automatically renews every 30 days until canceled
Amount Charged: Subscription price shown at checkout, plus applicable taxes and shipping (if any)

10.2 Managing or Canceling Your Subscription

You may cancel anytime from your customer account portal on the Site (powered by Loop or another subscription platform). You can also email hi@takereup.com for help.

10.3 Cancellation Cutoff (3 Days Prior)

To avoid being charged for your next renewal, you must cancel at least three (3) days before your next billing date.

If you cancel after your renewal charge is processed, that charge is non-refundable. The renewal order will be fulfilled and shipped as scheduled.

10.4 Refund Policy on Subscription Orders

Your first order is covered by our 30-Day Money-Back Guarantee.

Subscription renewal orders (rebills) are non-refundable. All renewal charges are final once processed. No refunds will be issued on rebilled orders, regardless of whether the order has shipped.

In the case of a damaged or defective renewal order, please contact us within 7 days of delivery with photos of the product and packaging. We will review on a case-by-case basis and may offer a replacement at our discretion.

10.5 Subscription Adjustments

Depending on platform functionality and your subscription settings, you may be able to update your address, payment method, and subscription details through your account. Available features may include skip, swap, or timing adjustments (if enabled).

10.6 Failed Payments

If payment fails, we may retry the payment method. If payment cannot be processed, your subscription may be paused or canceled and your shipment may be delayed.

10.7 Subscription Price Changes

If we change subscription pricing, we will provide notice as required by law before the new pricing applies to your renewal.

11) Shipping

We ship to addresses located in the United States only
Orders process within 3–7 business days (excluding weekends and holidays)
Delivery timelines are estimates and not guaranteed
Once transferred to carrier, risk of loss passes to you (where permitted by law)

12) Delivery Confirmation

Carrier delivery confirmation ("Delivered" status) may be treated as proof of delivery, where permitted by law.

14) Testimonials, Reviews, and Other Submissions

If you submit any reviews, testimonials, comments, photos, videos, or other content ("Submissions"), you grant TAKE REUP LLC a royalty-free, worldwide, perpetual, irrevocable right to use, reproduce, modify, publish, translate, distribute, and display such Submissions in any media for marketing or other lawful purposes, unless prohibited by law.

You represent that you own or have permission to submit the content and that it does not violate any third-party rights.

15) Third-Party Websites and Links

The Site may include links to third-party websites. We do not control or endorse third-party sites and are not responsible for their content, policies, or practices. Your interactions with third-party sites are at your own risk.

16) Electronic Communications

By using the Site or purchasing products, you consent to receive communications electronically (such as email). Notices, disclosures, and communications provided electronically satisfy any legal requirement that such communications be in writing.

17) Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.

18) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TAKE REUP LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATING TO THE SITE OR PRODUCTS.

IF TAKE REUP LLC IS FOUND LIABLE FOR ANY CLAIM, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) THAT GAVE RISE TO THE CLAIM.

Some jurisdictions do not allow limitations on liability, so some limitations may not apply to you.

19) Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless TAKE REUP LLC and its affiliates, officers, directors, employees, contractors, agents, service providers, licensors, and suppliers from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

Your misuse of the Site
Your breach of these Terms or Policies
Your violation of any law or third-party rights

20) Dispute Resolution by Mandatory Binding Arbitration & Class Action Waiver (Opt-Out Included)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

20.1 Pre-Arbitration Notice Requirement

Before starting arbitration, the claimant must send a written notice describing: (1) name, (2) order number (if applicable), (3) a brief description of the dispute, and (4) the relief requested.

If the dispute is not resolved within 60 days after the notice is sent, either party may proceed to arbitration.

20.2 Agreement to Arbitrate

Any dispute or claim arising out of or relating to these Terms, the Site, your purchase, or your subscription will be resolved by final and binding arbitration, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. This arbitration agreement is governed by the Federal Arbitration Act (FAA).

20.3 Arbitration Location; Remote Participation

Arbitration will be deemed seated in Sheridan County, Wyoming, but the parties will not be required to travel. Arbitration may occur by telephone, video, or written submission unless the arbitrator determines a hearing is necessary.

20.4 Fees

AAA rules govern fees and costs. If AAA requires you to pay a consumer filing fee, TAKE REUP LLC will reimburse any portion exceeding $125 upon request and proof of payment, unless the arbitrator determines your claim is frivolous.

20.5 Small Claims Court

Either party may bring an individual claim in small claims court if the claim qualifies and remains in small claims court.

20.6 Class Action Waiver

YOU AND TAKE REUP LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.

The arbitrator may not consolidate claims or award relief to anyone not a party to the arbitration.

20.7 Opt-Out Right (30 Days)

You may opt out of arbitration and the class action waiver by sending a written request within 30 days of your first purchase that includes your name, email, mailing address, and order number and states your intent to opt out.

If you opt out, you will not be bound by Section 20, but all other Terms remain in effect.

21) Intellectual Property & Injunctive Relief

Nothing in these Terms prevents TAKE REUP LLC from seeking injunctive or equitable relief in court to protect its intellectual property, confidential information, or proprietary rights.

22) Assignment

You may not assign your rights under these Terms. We may assign these Terms or transfer rights and obligations in connection with a merger, acquisition, or sale of assets.

23) No Waiver

Failure to enforce any right or provision does not waive that right or provision.

24) No Agency Relationship

No joint venture, partnership, employment, or agency relationship exists between you and TAKE REUP LLC by virtue of these Terms or purchases.

25) Severability

If any portion of these Terms is found unenforceable, the remaining portions remain in effect.

26) Termination

We may suspend or terminate access to the Site for violations of these Terms or unlawful activity. Sections intended to survive termination will survive.

27) Entire Agreement

These Terms and the Policies constitute the entire agreement between you and TAKE REUP LLC regarding the Site and purchases and supersede any prior communications or agreements.
